ISSUED TO: STUART MANDERS FROM: ROGER MARTÍNEZ · UNICORNUS.AI · THE FINESSED HUB

The golden directory. Veteran knowledge for every festival, burn, and retreat in America. Glad you're here, Stuart. Let's do this right.

01

Why we're in

This works because of what you bring, Stuart. Years inside the burns. Real relationships, real credibility, PR reach nobody builds from a keyboard. You brought the directory-and-survival-guide vision and it landed, because it's right. We want you specifically for this. At Create Infinite Elements you stayed to the very end, cleaning and packing up long after the crowd left, sore foot and all. That is why people trust you, and that trust is the one thing we can't build ourselves.

It's also already live. Five design editions at festivets.com, a registered gold brand, and a real data operation: 241 events across 57 states and provinces, every one status-checked. Dead events show dead. That honesty is the whole moat.

Before asking you for anything, we put our own money in. We bought festivets.com outright this week, the exact-match domain, before you've signed a word.

That's what exists today. What gets built next, we decide together.

02

Two trailheads, one mountain

We each reached this idea on our own. You got here through the burns. Roger got here through a research line dating to November 2024, then built a working festival-operations app, survival wiki included, for a 2026 festival. That prior work is why FestiVets went from talk to live in days.

Neither path takes anything from the other. Two people who know this world landed on the same gap. The paperwork records both origins once, in Exhibit A, so it never has to be argued. After that, each of us gets paid for what we do.

03

The deal

Two clean paths, and we have a favorite. We pick together, no pressure.

Path A · The alliance · What we're hoping for

50/50, for life

You pay nothing out of pocket. We build it and cover the basic running costs, for life. Net profit, after the venture's agreed costs and taxes, splits 50/50 for as long as FestiVets exists. Half of everything it earns, yours.

Path B · Buyout

FestiVets becomes yours

Market rate for a platform like this is $15k to $50k. Your price: $26,000, one time. We hand over the source code and designs, FestiVets is 100% yours, and our name comes off it.

If we take Path A, one rule keeps the money clean.

The two-key money rule

Venture money moves only on a short note we both sign off first. You see the full books every month. Nothing moves on one signature, either direction.

04

How it works

Build the directory the scene trusts, and make it earn. Each side does what it does best.

The Finessed Hub · Unicornus.ai

Builds and runs it

Design, development, basic hosting, data, maintenance. The basics, zero cost to the venture, for life.

Stuart Manders

Opens doors and sells

PR, network, community trust, promotion. The part no machine does.

Neither side bills the other. Neither owes a quota. The basic hosting, upkeep, data, and fixes are on us. The heavier stuff, dedicated hosting or legal and IP costs like copyrights, the venture pays out of what it earns, before profit is split, so it never lands on one side alone. Either way, nothing moves without us both signing off first.

05

Protection both ways

Good faith, first

Normally an NDA comes before you see anything. We flipped it. You have already seen the whole thing live at festivets.com, five editions, real data, before signing a word. That was on purpose. We count you as da'cru, our crew, and mates don't gatekeep mates.

Once we go deeper (unreleased designs, source, data, pricing, your contacts), we sign one two-page NDA. It runs both ways.

06

How we start

D-1
Mutual NDA & Non-Circumvention · 2 pages · sign first

The both-ways protection above. Read it: festivets.com/legal/nda.

D-2
Collaboration & Revenue Share Agreement

The alliance in full: contributions, the 50/50 split, the two-key rule, monthly books, IP and provenance, with the buyout on record as the alternate. Read it: festivets.com/legal/agreement.

D-3
The fragmented costs · read anytime · the money, unpacked

What the $26,000 buyout buys, line by line, against the ~$45,200 it would run at market, plus the monthly cost any live app carries. Read it: festivets.com/legal/costs.

The first two are starting points; we redline them together (and you're welcome to run the final text past an attorney before signing). D-3 is just the math, open whenever you want it.

  1. Read this, note anything you'd change.
  2. We talk it through.
  3. Sign the NDA. The deeper drawers open.
  4. Redline the agreement together.
  5. Signatures, a good handshake.
  6. You open doors, we ship gold.
Two names on the same pass.

Nothing here is signed yet. We redline it together, then we sign. We'd rather get this right than rush it. And when it's right, there's no one we'd rather build it with than you.
